Job Description
To assist the Company Secretary, Ethics and Legal to manage bank compliance with the relevant statutory and regulatory requirements and best practice corporate governance frame works.
- Develop, maintain, and implement governance and compliance frameworks aligned with regulatory and statutory requirements.
- Ensure accurate preparation, collation, and distribution of board and committee packs in accordance with statutory and regulatory timelines.
- Draft precise minutes and resolutions for board and committee meetings.
- Maintain statutory registers and records in line with the Companies Act and Listings Requirements.
- Support the Company Secretary in director induction and ongoing governance training.
- Provide guidance and training to internal teams on regulatory obligations, Listings Requirements, and governance practices.
- Coordinate with legal, compliance, and risk teams to ensure a unified regulatory strategy.
- Support the planning and execution of Annual General Meetings and shareholder engagements.
- Provide strategic direction and foster a culture of high ethical standards aligned with organizational vision and goals.
- Design and implement strategies that optimize employee potential and performance.
- Encourage and maintain strategic relationships across functional areas to promote collaboration and knowledge sharing.
- Align and integrate specialized solutions across the business to drive innovation and sustainable competitive advantage.
- Provide thought leadership and expert advice on governance, compliance, and organizational design.
- Maintain expert knowledge of legislative changes, industry best practices, and global trends.
- Ensure integrated reporting of business information to support strategic decision-making.
- Analyse data to identify trends, discrepancies, and opportunities, and report findings to relevant stakeholders.
- Use insights from business reports to measure success and adjust tactical strategies accordingly.
- Understand and promote the competencies and skills required for personal and team development.
- Identify development needs and implement effective solutions to enhance individual and team performance.
- Ensure employees create and review personal development plans regularly.
- Foster an environment that supports cross-functional skills transfer and continuous learning.
- Stay informed about emerging learning opportunities, products, and industry trends.
- Provide mentorship, share expertise, and guide employees in problem-solving.
- Deliver constructive feedback to support growth and motivation.
Qualifications and Experience
- Bachelor’s degree in Law, LLB, or a related field
- Professional certification in governance, compliance, or regulatory affairs (e.g., CGISA, ICA, or equivalent) is an advantage.
- Minimum 3–5 years of experience in a regulatory, governance, or compliance role within the financial services sector.
- Strong understanding of banking regulations, corporate governance frameworks, and listing requirements.

- Ability to work independently and collaboratively across departments.
- Proficiency in Microsoft Office, board and regulatory management tools.
